Terms of Service

1. Acceptance

By accessing or using ChemExact (the "Platform") you agree to these Terms. If you do not agree, do not use the Platform.

2. Service description

ChemExact is a B2B chemical sourcing and matching platform operated by Beijing Lushi Technology Co., Ltd. ("Operator"). The Platform facilitates discovery of and inquiry routing to chemical suppliers ("Suppliers"). The Operator is NOT itself a party to any supply contract concluded between Buyers and Suppliers.

3. Eligibility

The Platform is intended exclusively for businesses. You represent that (a) you are at least 18 years old, (b) you have authority to bind the entity you represent, and (c) the chemicals you wish to purchase or supply are lawful in your jurisdiction and not subject to embargoes or sanctions you have not disclosed.

4. Account & accuracy

Submitted information (company, address, product specs, intended use) must be true, accurate and complete. We may verify, refuse, restrict or terminate access at our discretion.

5. Listings & content

Suppliers are responsible for the accuracy of their own listings, certifications and COA documents. Operator performs reasonable verification (legal entity, address, basic certifications) but does not warrant batch-level quality, regulatory compliance for your specific use case, or fitness for any particular purpose.

6. Inquiries & quotes

Inquiries submitted through the Platform are routed to up to three Suppliers per CAS. Quotes returned are non-binding indicative offers unless explicitly issued as a formal proforma invoice by the Supplier. All purchase agreements are concluded directly between Buyer and Supplier.

7. Fees

Basic listings, inquiry submission and search are free. Premium Supplier placement and priority routing are paid subscriptions billed separately under the relevant order form. Operator does not currently charge Buyers commission on transactions.

8. Prohibited use

• Sourcing controlled chemicals (CWC schedules, narcotic precursors, explosives precursors) without the required licenses.
• Sanctions-circumventing transactions, fraudulent identities, impersonation of another business.
• Scraping, reverse-engineering or burdensome automated access.
• Reselling or republishing Platform data without written permission.

9. Disclaimers & limitation of liability

The Platform is provided "as is" and "as available". To the maximum extent permitted by law, Operator disclaims all implied warranties and shall not be liable for indirect, consequential or incidental damages, lost profits, business interruption, or loss of data arising from your use of the Platform or any Supplier transaction. Aggregate liability for direct damages is capped at the greater of (a) USD 100 or (b) fees you paid Operator in the prior 12 months.

10. Indemnity

You agree to indemnify and hold Operator harmless against any claims arising from your breach of these Terms, your violation of law, or any dispute with a Buyer / Supplier you transact with through the Platform.

11. Governing law & disputes

These Terms are governed by the laws of the People's Republic of China. Disputes shall be submitted to the competent courts in the Beijing Haidian District unless a binding mandatory law of your jurisdiction provides otherwise.

12. Changes

We may revise these Terms; the "Effective" date at the top will change. Material changes are announced at least 30 days in advance on the homepage banner.
